Sumer tops £1bn as TPG backs a continuation vehicle, not an outright sale
Monday, 19 October 2026•UK & Ireland
UK accountancy group Sumer has reached a reported valuation of more than £1bn in a deal that gives US investor TPG a leading position through a continuation vehicle, with existing backer Penta Capital staying on and no outright sale of the business. The move follows a roughly £1bn auction paused in May over valuation doubts. Elsewhere, the FRC publishes early-adoption guidance for revised ISA (UK) 700 and its 2026 Audit Quality Review, HLB Ireland makes its 13th acquisition, and Business Asset Disposal Relief sits at 18% against a 24% main CGT rate ahead of the 28 October Budget.

Sumer valued at over £1bn as TPG invests through a continuation vehicle
Valuation above £1bnTPG lead positionPenta Capital retainedNot an outright sale
UK accountancy group Sumer has reached a reported valuation of more than £1bn following a deal involving US investor TPG, according to The Times. The arrangement gives TPG a leading investment position through a continuation vehicle, while existing backer Penta Capital retains a management and investment role. It is not an outright sale of the business. The financial terms, including the amount TPG is investing and the ownership split, have not been established in the accessible reporting, so the valuation should not be read as the price paid for the whole business. Sumer, Penta, and TPG declined to comment.
The deal follows May reports that Penta had paused a roughly £1bn auction after some bidders raised valuation concerns, with estimates as low as £700m, and was weighing a continuation fund. Sumer employs more than 3,000 people and generates around £300m in annual revenue, making it the UK's 12th-largest accounting firm. It grows by acquiring smaller practices that keep operational autonomy while drawing on shared central resources, and serves small and medium-sized businesses with services extending into legal and technology consulting.

Reference points only. The continuation-vehicle deal is not an outright sale, and terms were not disclosed.
What this means for firms. A valuation above £1bn through a continuation vehicle shows investor appetite for scaled accountancy platforms is intact, even after the doubts raised earlier this year. It also marks continuation vehicles as a live alternative to a conventional exit. Owner-managed firms planning a PE route should weigh integration quality, because the earlier valuation debate centred on how unified the group really was.

The Times also identified Affinia's acquisition of Wilson Partners and ECI Partners' acquisition of Shaw Gibbs as notable recent transactions in the sector. The deals show consolidation is not limited to one group, although each should be judged on its own financial terms, business model, and growth prospects rather than read across from Sumer's valuation.

FRC publishes staff guidance for early adoption of revised ISA (UK) 700
Mandatory from 15 Dec 2026Interim statement issued
The Financial Reporting Council has published a Staff Guidance Note to support auditors choosing to early-adopt revised ISA (UK) 700. The revised standard becomes mandatory for audits of financial statements for periods commencing on or after 15 December 2026. The FRC has also issued an interim statement of auditor's responsibilities, which is only appropriate where revised ISA (UK) 700 alone has been early adopted.
What this means for firms. Firms planning early adoption should read the guidance before committing to engagement wording. The interim statement applies only where ISA (UK) 700 alone is early adopted, so mixed adoption needs care.

ICAEW flags incorrectly created quarterly obligations at sign-up
Known HMRC issueCalendar-quarter election
ICAEW has flagged a small number of taxpayers whose quarterly obligations were not created correctly during sign-up. Practitioners are advised to wait for the calendar-quarter election to reflect in HMRC systems before submitting, rather than filing against an obligation that may be wrong.
What this means for firms. Before the 7 November quarterly deadline, check each client's obligations in the HMRC portal. Do not submit until the quarter structure matches the election, or you risk a rejected or misallocated update.
