FRS 102 Section 20 leases: balance-sheet gearing rising at year-end

Live for periods from 1 Jan 2026Lessee operating/finance split removed

With FRS 102's amended Section 20 (leases) now live for accounting periods beginning on or after 1 January 2026, ICAEW, KPMG, and Grant Thornton commentary continues to flag common early-adoption pitfalls. Removal of the operating and finance lease split for lessees is producing materially higher balance-sheet gearing at year-end reviews, with knock-on effects for covenants, KPI dashboards, and directors' report narratives.

What this means for firms. Speak to covenant-sensitive clients this month, not at year-end. Restated gearing on a Section 20 basis should not surprise a lender who has already seen it.

FRS 102 Section 23 revenue: five-step model prompting restatements

IFRS 15-alignedSoftware, construction, professional services

The new IFRS 15-aligned five-step revenue model under FRS 102 Section 23 is prompting restatements across software, construction, and professional services engagements. Practitioners should re-scope revenue recognition memos, contract-modification triggers, and performance-obligation identification before December year-ends land on the audit file.

What this means for firms. Contract-by-contract walk-throughs should be booked into November audit planning, not January fieldwork. Restatements caught during planning are cheaper than restatements caught at signing.

Practitioners are reminded that FRC Factsheet 12, Presentation of Financial Statements, remains the operative guide for entities applying FRS 102, including small entities. It continues to sit alongside the Periodic Review 2024 as the go-to reference for firms preparing December 2026 accounts.

HMRC crypto disclosure data surfaces £1.38bn in gains

£1.38bn in disclosed gainsCARF exchange from 2027

HMRC's inaugural crypto disclosure data has surfaced £1.38bn in gains, ahead of automatic exchange reporting going live under the OECD Crypto-Asset Reporting Framework (CARF) in 2027. Firms advising retail investors and high-net-worth clients should begin cataloguing crypto holdings and prior-year positions in anticipation, particularly for clients who have not previously disclosed staking rewards, airdrops, or disposals treated as miscellaneous income.

What this means for firms. The £1.38bn is what has come in voluntarily. Once CARF exchange is live, undisclosed gains will surface against systematic platform data. Voluntary disclosure conversations should be scoped this quarter for every client with a crypto footprint.

Kreston Reeves and AAB integration continues in South East and Scotland

Completed 1 July 2026Goldman Sachs Alternatives majority

Following completion on 1 July 2026, the combined Kreston Reeves and AAB firm, with AAB majority-owned by Goldman Sachs Alternatives since 2025, is continuing back-office integration. Practices in the South East and Scotland should monitor for follow-on lateral partner movement over the next quarter, and expect renewed conversations on shared services and technology stack rationalisation.

H2 2026 M&A sector rotation: AI, healthcare, energy and business services

Equity markets at record highsIPO activity re-emergingIndian inbound theme

UK Finance, Slaughter and May, and Barclays commentary point to a firming H2 2026 M&A environment: equity markets at record highs, IPO activity re-emerging, volatility declining, and rates easing. Deal flow is concentrating in AI, healthcare, energy, and business services, and Indian inbound remains a growing theme supported by the bilateral trade deal and highlighted in ICAEW's September Corporate Financier edition.

What this means for firms. Sector coverage should shift toward the four active themes for the rest of the quarter. Corporate finance pitches oriented to slower sectors will lose to competitors already covering AI, healthcare, energy, and business services.

FCA policy pulse: investment culture and financial crime

FCA speechesConsumer Duty direction of travel

Recent FCA output includes speeches on Building a Stronger UK Investment Culture and Financial Crime: Protecting the Hive, plus enforcement moves against illegal crypto trading and initiatives to support SME access to finance. IFAs should note the direction of travel on retail investment culture and Consumer Duty enforcement as they finalise Q4 client reviews.

What this means for firms. Q4 client-review templates and outcome-testing MI should reflect the retail investment culture framing that the FCA is signalling. Firms writing this quarter's reviews on last quarter's script will present into a moving target.

Talent bottleneck deepens as fill times lengthen

Newly-qualified competition sharpensQ4 planning pressure

Accountancy Age coverage underscores growing concern about a critical talent bottleneck in mid-tier UK practice, with vacancy fill times lengthening and firms reporting sharper competition for newly qualified accountants. The pressure is intensifying on retention strategies, apprenticeship pipelines, and international recruitment ahead of Q4 planning, and pairs with the Leinster pay data highlighted earlier this month across the Irish market.
